Terms of Service

1. Acceptance of Terms

By accessing or using the Vigil AI platform at vigilhq.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all users, including funeral home operators ("Clients"), their staff members, and families using intake forms.

2. Description of Service

Vigil AI provides an AI-powered answering service platform for funeral homes and cremation providers. The Service includes an AI voice answering agent, on-call notification and escalation system, pre-arrangement and intake forms, call logging and transcription, and a staff management portal.

Vigil AI is a technology platform and is not itself a licensed funeral establishment. All funeral and cremation services are provided by the licensed funeral home or cremation provider using the platform.

3. Account Registration

To access the portal, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Attempt to gain unauthorized access to any portion of the Service or its related systems
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to transmit unsolicited commercial communications (spam)
• Collect or harvest personal information from other users without consent

5. SMS Communications

By being added to an on-call roster within the Vigil AI platform, staff members consent to receive automated SMS notifications regarding urgent death calls during their scheduled on-call periods. These messages are operational in nature and are not marketing communications.

Recipients may opt out at any time by replying STOP to any message. Opting out will disable SMS notifications for that phone number. Message and data rates may apply.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

Clients are responsible for ensuring that their use of the Service complies with all applicable privacy laws, including obtaining any necessary consents from families and staff members for the collection and processing of their personal information.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Vigil AI and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. VIGIL AI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Vigil AI's AI answering service is designed to assist funeral home staff but is not a substitute for professional judgment. Funeral homes remain solely responsible for all decisions made regarding the care of families and the deceased.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VIGIL AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

10. Termination

We reserve the right to suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason at our sole discretion. Upon termination, your right to use the Service will immediately cease.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Minnesota.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a new effective date. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.
